   THIS NOTE PURCHASE AGREEMENT (this “Agreement”) is made as of [date here], by and between [name of company], a [name of State] corporation, and the Persons listed on Schedule I attached hereto as it may from time to time be modified and supplemented (individually, the “Purchaser”, collectively the “Purchasers”).

   WHEREAS, the Purchasers desire to purchase from the Company certain convertible promissory notes (the “Note”) in the minimum principal amount of [amount].

   NOW, THEREFORE, the Company hereby agrees with the Purchasers and the Purchasers agree with the Company as follows:

1. Definitions.

For purposes of this Agreement the following terms have the meanings specified:

“Affiliate” means any Person controlling, controlled by or under common control with the Company.

“Agreement” means this Note Purchase Agreement, as from time to time amended, supplemented or modified.

“Closing” means the closing held on the Closing Date as defined herein.
