How to Research Your Management or Director’s Background

With the passage of the Sarbanes-Oxley Act publicly traded companies have faced much more scrutiny. It is wise for public companies to screen management and director candidates because of the new “public interest standard.” Many options are available for companies that must investigate potential directors or management personnel. A company might use question and answer forms, research the candidate using their Social Security Number, perform address verification, do reference or background checks, perform credit reports, or do criminal history checks. A company cannot begin investigating a candidate without the necessary information. Companies should provide comprehensive question and answer forms in order to acquire a large amount of information on candidates. Questions should include, but not be limited to, address history, employment and education history, basic financial information (any bankruptcies should be reported), and possible criminal histories.

The first avenue of investigation that should be pursued is Social Security Number (“SSN”) verification. This tool can be a company’s first line of defense against candidate’s dishonesty. Using services such as ADP Screening and Selection Services* can enable a company to instantly find out if the candidate has provided a valid social security number. If the SSN is not valid, it can be determined if it was issued prior to his/her date of birth, or if it belongs to a deceased person. Another company that provides this service is American DataBank, company that offers “Power SSN Verification.” This report also provides name-SSN matching, issuing state, residence history, and date issued. Public-records.net provides services called SSN Trace and SSN Trace Plus. SSN Trace Plus is similar to the Power SSN Verification offered by American DataBank. Additionally, the following companies provide Social Security Number screening: Corporate Screening, Personnel Profiles: Employment Screening Inc., and Employment Background Information.

Address verification should be performed to verify whether the applicant has provided the company with an honest address history. ADP Screening and Selection Services can immediately provide the candidate’s counties of residence for the company to compare against those provided on his/her employment application. Personnel Profiles: Employment Screening Inc. also provides an address verification service that identifies fraudulent activity associated with the information provided and previous address history.

Reference and background checks are perhaps the most important aspect of consideration when investigating a potential employee. All candidates should provide professional references, and these should always be followed up. Services are also available for employers who wish to have assistance in reference checks. ADP Screening and Selection Services will “not only help you end countless rounds of phone tag, but also provide you with additional legal protection under the Fair Credit Reporting Act. ADP offers Employment, Education, Credential and Personal Reference Checking products, allowing your human resources staff to focus its time on critical issues like applicant recruitment, employee morale and much more.”1 Personnel Profiles: Employment Screening Inc. provides employment verification services as well. They will verify dates and positions held, salary (if available), and professional licenses. VeriCheck Information Services will perform a comprehensive background check that includes name, addresses, real property ownership, bankruptcies, corporations, UCC filings, possible relatives and associates, neighbors, and an address profile. Other companies that offer employment verification and/or reference check services are Public-Records.net, Corporate Screening, and Employment Background Information.
